SEC issues rules on ‘umbrella funds’ to boost investment options

MANILA, Philippines – The Securities and Exchange Commission (SEC) has issued new rules governing “umbrella funds,” allowing multiple sub-funds to operate under a single investment company to broaden investment options and strengthen investor protection. Under SEC Memorandum Circular No. 14, Series of 2026, an umbrella fund is defined as an open-end investment company composed of at least two sub-funds with segregated assets and liabilities. The framework allows fund managers to offer various strategies—such as equity, bond or balanced funds—within one structure, while ensuring that risks and obligations remain confined to each sub-fund.
